1. Purpose and scope

These general terms and conditions of sale apply to any purchase of credits for the Veriphee service, published by MENESGUEN SERVICES (Créacodeal), Nanterre Trade and Companies Register (RCS), SIREN 933 323 594, hereinafter the publisher. They constitute the sole basis of the commercial relationship within the meaning of article L441-1 of the French Commercial Code. Creating an account constitutes acceptance without reservation.

The service is intended exclusively for professionals: companies, self-employed persons, associations and public bodies acting for the purposes of their activity. It is not intended for consumers.

The service is sold exclusively in the form of prepaid credits, with no minimum term, no renewal and no recurring charge.

2. Description of the service

From the name of a company, Veriphee identifies its company officers from public sources, detects the format of the company's email addresses, builds the professional address of each decision maker and verifies it with the mail server without sending any message. The result is a report that can be viewed online, printed as a PDF and exported as CSV.

3. How credits work

The service works with prepaid credits. 1 credit = 1 search, that is one complete company: the identification of its officers, then the building and verification of their professional email addresses.

Half-credit return: if a search yields no valid address, half of the credit debited is automatically credited back to the customer's account.

4. Customer account

Opening an account requires a valid professional email address and a password. The customer is responsible for the confidentiality of their credentials and for any activity carried out from their account. 2 credits, that is 2 searches, are offered on registration to try the service. The publisher reserves the right to refuse or to suspend a registration in the event of abusive use, in particular the creation of multiple accounts intended to accumulate the free credits.

5. Prices

Prices are expressed in euros excluding taxes. French VAT at the rate in force, currently 20 %, is added for customers established in France. For professional customers established in another Member State of the European Union and holding a valid EU VAT number, the reverse charge applies.

Credits are sold in packs:

For more than 1,000 searches, the customer contacts the publisher's sales team at [email protected] for a proposal suited to their volume.

The publisher may change its prices at any time. New prices apply to subsequent purchases and do not affect credits already purchased.

6. Launch offer

Under the launch offer, packs of 50 searches or more come with free searches, amounting to about 15 % of the number of searches purchased, as set out in the table in article 5. Free searches are added to the account at the same time as the searches purchased and follow the same rules, in particular as regards validity.

The publisher may end the launch offer at any time. The end of the offer has no effect on free searches already added to the customer's account.

7. Payment and invoicing

Credits are payable on order, by bank card, through the provider Stripe. The publisher never has access to card data. Credits are added to the account as soon as the payment is confirmed. An invoice is issued for each payment and sent to the email address of the account.

In accordance with article L441-10 of the French Commercial Code, any sum not paid when due gives rise to late payment penalties at the European Central Bank interest rate increased by ten points, as well as to a fixed recovery indemnity of 40 euros.

8. Validity of credits

Credits are valid for one year from the date of purchase. At the end of this period, remaining credits expire and give rise to no refund. Credits are neither refundable, nor exchangeable, nor transferable to another account, and give rise to no cash payment.

9. Right of withdrawal

As the service is reserved for professionals, the right of withdrawal provided for consumers does not apply. By exception, a professional employing fewer than six employees and ordering a service that does not fall within the scope of their main activity has the fourteen-day period provided for in article L221-3 of the French Consumer Code. As performance of the service begins immediately, that professional acknowledges that, by using their credits, they waive this right for the services already performed.

10. Customer obligations

The customer undertakes to:

Any breach may lead to the immediate suspension of the account, without refund of the remaining credits.

11. Availability and changes

The publisher endeavors to ensure the continuous availability of the service, without guaranteeing the absence of interruption. Maintenance work and the unavailability of the third-party services used may temporarily suspend searches or verifications. Where verification is unavailable, no credit is debited. The publisher may change the features of the service, provided that this does not alter its essential nature.

12. Liability

The publisher is bound by a best-efforts obligation. It guarantees neither the completeness of the officers identified, nor the durability of the addresses supplied, as a person may leave the company or change address at any time. The publisher's liability, all causes combined, is limited to the amount excluding taxes actually paid by the customer during the twelve months preceding the triggering event. Indirect damages are excluded, in particular loss of revenue, of customers or of reputation, as well as the consequences of the mailings carried out by the customer.

13. Personal data

Each party complies with the applicable regulations. The processing carried out by the publisher is described in the privacy policy. The customer, being responsible for their own prospecting operations, ensures that there is a valid legal basis and that the persons concerned are informed.

14. Intellectual property

The publisher retains all rights to the service, its code, its trademark and its interfaces. The customer has a personal, non-exclusive and non-transferable right of use for as long as their account is active. The reports produced belong to the customer for their internal use.

15. Amendment of the terms

These terms may be amended. The applicable version is the one online on the day of the order. Any substantial amendment is brought to the attention of customers at least thirty days before it comes into force.

16. Governing law and disputes

These terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution. Failing that, exclusive jurisdiction is granted to the Commercial Court of Nanterre, including in the event of several defendants or of a warranty claim.
